Terms of Service

1. Acceptance of Terms

The Opsis OSINT platform (“Service”) is owned and operated by Opsis LLC, a Minnesota limited liability company (“Opsis,” “we,” “us,” or “our”). These Terms of Service constitute a binding agreement between you and Opsis LLC. By creating an account or using the Service, you agree to be bound by these Terms of Service, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Service Description

Opsis provides open-source intelligence (OSINT) tools that aggregate publicly available information from third-party sources. Results are compiled from public APIs, websites, and data services. Opsis does not generate, verify, or guarantee the accuracy of any information returned.

4. Regulated-Use Disclaimers

Opsis is not a consumer reporting agency (CRA), credit bureau, background-check provider, or regulated data broker.

The Service does not produce “consumer reports” as defined by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.), nor does it produce reports regulated by the Gramm-Leach-Bliley Act (GLBA) or the Driver's Privacy Protection Act (DPPA). You may not use the Service, in whole or in part, for:

• Determining eligibility for employment, promotion, reassignment, or retention
• Evaluating a consumer for credit, insurance, or other personal-finance decisions
• Tenant screening or housing decisions
• Accessing or obtaining motor-vehicle records in a manner regulated by the DPPA
• Accessing or inferring non-public personal financial information regulated by GLBA
• Eligibility for any license, benefit, or government-issued authorization
• Any purpose governed by the FCRA, GLBA, DPPA, HIPAA, or equivalent state or foreign laws

By using the Service, you certify that you will not use any information obtained through Opsis for any FCRA-, GLBA-, or DPPA-regulated purpose.

5. Acceptable Use Policy

You may only use the Service for lawful purposes. Permitted use cases include but are not limited to:

• Licensed private investigation
• Corporate security and due diligence
• Cybersecurity threat intelligence and research
• Law enforcement and government investigations
• Journalism and media investigation
• Academic and security research
• Personal identity protection and self-lookup
• Skip tracing and debt recovery, where legally authorized

Prohibited uses include:

• Stalking, harassment, intimidation, or threatening any individual
• Doxxing or publishing private information with intent to harm
• Discrimination based on race, gender, religion, sexual orientation, or any protected characteristic
• Employment screening, tenant screening, credit decisions, or any FCRA-regulated purpose
• Any activity that violates applicable local, state, national, or international law
• Violations of the Computer Fraud and Abuse Act (CFAA) or equivalent legislation
• Circumventing rate limits, scraping the Service, or automated bulk data extraction
• Reselling, redistributing, or commercially sublicensing search results
• Using the Service to facilitate identity theft or fraud

6. Activity Logging & Analytics

All searches are logged. Logs include your account identifier, search query, search type, timestamp, and IP address. Logs are retained for compliance, abuse prevention, credit accounting, and to cooperate with lawful law-enforcement requests. Opsis may preserve and disclose account information and search logs when required by law or legal process, or when Opsis believes in good faith that such action is necessary to protect the rights, property, or safety of Opsis, its users, or the public.

We also collect product-analytics events and operate advertising-attribution pixels (including Meta and TikTok) as described in our Privacy Policy. We never share the content of your search queries with advertising networks.

7. User Responsibility

You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction, including but not limited to privacy laws, data-protection regulations (GDPR, CCPA/CPRA), the Fair Credit Reporting Act, and investigative-licensing requirements. Opsis does not provide legal advice.

8. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] if you believe your account has been compromised. Opsis is not liable for losses caused by unauthorized account access due to your failure to keep credentials secure.

9. Subscriptions, Billing & Auto-Renewal

IMPORTANT — PLEASE READ THIS SECTION CAREFULLY.

9.1 Paid subscription required

To perform searches, a paid subscription is required. Subscription plans are listed on our billing page. Pricing may vary by region.

9.2 Auto-renewal

Subscriptions renew automatically at the end of each billing period (monthly, on the anniversary of the initial purchase) and your payment method will be charged the then-current subscription price plus any applicable taxes. You authorize Opsis and its billing processor (Stripe) to charge your payment method on each renewal until you cancel.

9.3 How to cancel

You may cancel at any time by visiting the billing page while signed in and clicking “Manage subscription” to open the Stripe billing portal. Cancellation takes effect at the end of the current billing period; your account remains active until that date. No further charges will be made after cancellation.

9.4 Credits and refunds

Search credits are granted on a monthly basis and do not roll over between billing periods. Unused credits are forfeited at the end of each billing cycle. Refunds are not provided for unused credits, partial periods, or mid-cycle cancellations. Where required by law (e.g., consumer-protection statutes in certain jurisdictions), statutory refund rights continue to apply.

9.5 Price changes

We may change pricing on future billing periods. We will provide at least 30 days' notice of material price changes by email. Continued use of the Service after the change constitutes acceptance of the new price. You may cancel before the change takes effect to avoid being charged the new price.

9.6 Taxes

Prices shown do not include taxes unless stated. You are responsible for any applicable sales tax, VAT, GST, or similar taxes. Stripe may collect tax on our behalf where required.

9.7 Failed payments

If a renewal payment fails, Stripe will retry the charge up to 8 times over approximately 3 weeks. During this recovery period, your subscription may be marked as past-due but access to the Service continues. If payment is still not recovered at the end of the recovery period, your subscription will be cancelled, your tier will be downgraded to free, and access to paid features will be revoked until a valid payment is received and the subscription is reactivated.

10. Indemnification

You agree to indemnify, defend, and hold harmless Opsis LLC and its members, managers, owners, operators, officers, employees, contractors, and agents (collectively, the “Opsis Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms or any applicable law
• Your violation of any rights of a third party
• Any claim that your use of the Service caused damage to a third party
• Any misrepresentation regarding your intended use case

This indemnification obligation survives the termination of your account and these Terms.

11. Account Termination

Opsis reserves the right to suspend or terminate any account that violates these Terms, the Acceptable Use Policy, or is suspected of misuse, without prior notice and without refund. We may also report suspected illegal activity to law enforcement. Upon termination, Opsis may retain search logs and account data as required by law or for legitimate compliance purposes, as described in our Privacy Policy.

12. Intellectual Property

The Service, including its design, code, features, and branding, is the intellectual property of Opsis. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose in accordance with these Terms. You do not acquire any ownership rights in search results, which are compiled from third-party sources. You may not copy, reproduce, reverse engineer, or create derivative works based on any part of the Service.

13. Data Accuracy Disclaimer

Information returned by the Service is aggregated from third-party sources and publicly available data. Opsis makes no warranties regarding the accuracy, completeness, or timeliness of search results. Results may contain errors, outdated information, or data pertaining to different individuals with similar identifiers. You should independently verify any information obtained through the Service before taking action based on it.

14. Service Availability & Force Majeure

We aim to keep the Service available and performant but do not guarantee uninterrupted access. Scheduled maintenance, infrastructure failures, third-party outages (including Stripe, Clerk, Railway, Cloudflare, and OSINT data sources), or events beyond our reasonable control (acts of God, natural disasters, war, civil unrest, government orders, pandemics, internet or utility outages, denial-of-service attacks, or breaches of third-party providers) may temporarily disrupt the Service. Opsis shall not be liable for delays or failures caused by such events.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Opsis LLC or any of the Opsis Parties (its members, managers, owners, operators, officers, employees, contractors, and agents) be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service, regardless of the theory of liability.

To the extent Opsis LLC is found liable for any direct damages, such liability shall be limited to the total amount of fees you paid to Opsis in the twelve (12) months preceding the event giving rise to the claim. You acknowledge that Opsis LLC is a limited liability company and that, to the maximum extent permitted by law, no individual member, manager, owner, officer, employee, or agent of Opsis LLC shall bear personal liability arising out of or relating to these Terms or the Service. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, in which case the above limitations apply to the maximum extent permitted by law.

16. Dispute Resolution & Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in the State of Minnesota, United States, and shall be conducted by a single arbitrator.

You agree that any dispute-resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual-property rights. You may also bring an individual action in small-claims court in your county of residence, subject to the court's jurisdictional limits.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict-of-law provisions. To the extent any legal proceeding is permitted outside of arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Minnesota.

18. Modifications

Opsis may update these Terms at any time. When we do, we will update the “Last updated” date at the top of this page. We will make reasonable efforts to notify registered users of material changes by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree with any change, you must stop using the Service and may cancel your subscription.

19. Entire Agreement & Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opsis regarding the Service. If any provision is found unenforceable, the remaining provisions will continue in full force and effect.
